How to update the Paid Up Capital in Singapore Company?
My partners and I set up a company about 2 years ago with paid up capital of $100. Since then we have not updated our ACRA profile.
Over these two years, we have pumped in more capital amounting to a total of about $400,000 into our company. However, most of the funds have been used for business expenditure such as trade exhibitions and purchase of stocks.
Now, we want to update our Bizfile to show the true value of our investment thus far. How can we go about doing this?

Answer: Whatever you do now must be consistent with the accounts submitted at your AGMs for the past 2 years. Since you did not file the increase in share capital with ACRA, I hope that your accountant did not show the $400,000 as share capital. That amount should have been disclosed as "Loans from shareholders". If you have used up the cash, that would show up in your accounts as exhibition expenses, travelling expenses, etc, and if your company incurred losses, so be it.
So, as I understand it, as of now, you have share cap of $100 and Loans from shareholders of $400,000. What you need to do is contact your corp sec and ask her to pass a resolution to capitalise the amount put in by shareholders. Your accountant would then need to pass a journal entry:
Dr Loans from shareholders $400,000
Cr Share capital $400,000
Assuming you do this round about now, there will be no fines payable to ACRA. However if you insist on backdating the increase in share cap to 2 years ago, you will have to pay the fines, and your corp sec should be able to advise you.

How do I increase my paid up capital of my company in Singapore?
I know that I can go to Bizfile to increase the shares so that my paid up capital increases.
I am wondering what else I need to do after this step. eg. Do I need to ensure that I have sufficient funds in the corporate account?
Also, what if I use the funds for other purposes eg. purchase of supplies?
Is there nowhere that I can get information on this other than asking a professional secretary firm?
Answer: 1st, you need your corporate secretary to pass a resolution approving the allotment of shares to you. Then someone has to lodge this allotment with ACRA online via Bizfile. Your allotment papers should say if the allotment was for cash or otherwise than in cash. If it's for cash, make sure there's a deposit of that amount into the company's bank account. Once the money is deposited, you can spend it on business matters, like purchasing supplies or fixed assets. Feel free to email me if you have further questions.
